1. Introduction and Acceptance

Welcome to Varaneety, a community-based knowledge sharing platform operated by Meged Solutions ("we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of Varaneety's website, services, and applications (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes your acceptance of the modified Terms.

2. Eligibility and Account Requirements

You must be at least 16 years old to use our Service. By using Varaneety, you represent and warrant that you are at least 16 years of age.

3. User Responsibilities and Conduct

3.2 Community Standards

When participating in communities, you agree to:

  • Respect other community members
  • Contribute constructive and relevant content
  • Follow community-specific guidelines set by community administrators
  • Report inappropriate content or behavior

4. Intellectual Property Rights

4.1 Our Intellectual Property

The Service, including its design, features, and functionality, is owned by Meged Solutions and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or exploit any part of the Service without our express written permission.

4.2 Your Content

You retain ownership of all content you create and share on the Service ("User Content"). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, and distribute your User Content in connection with operating and providing the Service.

You represent and warrant that:

  • You own or have the necessary rights to post your User Content
  • Your User Content does not violate any third-party rights
  • Your User Content complies with these Terms

4.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, without prior notice.

5. Community Guidelines

5.1 Creating Communities

Users may create communities to share knowledge with specific groups. As a community creator or administrator, you are responsible for:

  • Setting clear community guidelines
  • Moderating content and member behavior
  • Managing membership and invitations
  • Ensuring your community complies with these Terms

5.2 Community Membership

When joining a community, you agree to:

  • Abide by community-specific rules
  • Respect the decisions of community administrators
  • Contribute positively to the community

Community administrators have the right to remove members who violate community guidelines.

6. Content Moderation and Removal

6.1 User Reports

We encourage users to report content that violates these Terms. You can report inappropriate content through the reporting features available on the Service.

6.2 Our Rights

We reserve the right, but are not obligated, to:

  • Monitor and review User Content
  • Remove or modify User Content that violates these Terms
  • Take action against users who violate these Terms
  • Cooperate with law enforcement authorities

6.3 No Obligation to Monitor

We are not responsible for monitoring all User Content and we are not liable for content posted by users. However, we reserve the right to review and remove content at our discretion.

7. Service Availability and Changes

7.1 Service Availability

We strive to keep the Service available 24/7, but we do not guarantee uninterrupted access. The Service may be unavailable due to:

  • Scheduled maintenance
  • Technical issues
  • Force majeure events
  • Other circumstances beyond our reasonable control

7.2 Changes to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuance of the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted, secure, or error-free
  • The results obtained from using the Service will be accurate or reliable
  • Any errors in the Service will be corrected

8.2 Limitation of Liability

IN NO EVENT SHALL MEGED SOLUTIONS, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS, OR $100, WHICHEVER IS GREATER.

8.3 User Content Disclaimer

We are not responsible for User Content posted on the Service. User Content does not reflect our views or opinions. You use User Content at your own risk.

9. Indemnification

You agree to indemnify, defend, and hold harmless Meged Solutions, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Your User Content

10. Dispute Resolution and Governing Law

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Israel, without regard to its conflict of law provisions.

10.2 Dispute Resolution

Any dispute arising out of or related to these Terms or the Service shall be resolved through:

  1. Informal Negotiation: First, contact us at legal@varaneety.com to attempt to resolve the dispute informally.

  2. Arbitration: If informal negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the Israeli Arbitration Law.

  3. Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

10.3 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights or confidential information.

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings.

11.2 Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice, for:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Any other reason at our sole discretion

11.3 Effect of Termination

Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and User Content
  • Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

  • Update the "Last Updated" date at the top of these Terms
  • Notify users of material changes through the Service or via email
  • Provide reasonable notice before changes take effect

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

13. Miscellaneous

13.1 Entire Agreement

These Terms constitute the entire agreement between you and Meged Solutions regarding the Service and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

13.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

13.5 No Agency

These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Meged Solutions.
